We have a broad venture capital and private equity practice. FUND FORMATION
We have vast experience in fund formation and have represented numerous fund managers raising and operating private equity and venture capital funds. We have been engagedin all aspects of fund structuring, including preparing the limited partnership agreement, private placement memorandum, subscription agreement, investor negotiations and cross-border fund raising, as well as day-to-day fund operations. We also represent high-net-worth individuals and large corporations who investin private equity funds and a select group of “fund-of-funds”.

We have extensive experience and expertise in every aspect of venture capital transactions and private equity work. Our attorneys advise on the full range of transactions from venture capital investments to the most complex cross-border private equity investments in mature companies, as well as early stage and seed stage companies. Our Corporate department works closely with clients in every stage of the venture capital life cycle, from start-ups to exit or sale to workouts.
PRIVATE EQUITY
We represent private equity funds in connection with their investments, whether in the form of buyouts (leveraged, management-led or otherwise), majority investments, minority investments, joint ventures or other structures. We provide ongoing support to our private equity clients in their management and oversight of portfolio investments.
